1. Use Agreement

Golden LLC (“Golden”) grants the Administrator of Record (“Administrator”) a non-transferable and non-exclusive license to use GoldenProfiler.com’s Online Assessment and Administration Platform, subject to the terms of this Agreement. Access to the platform is granted upon approval of the Administrator’s registration request and receipt of login credentials.

2. Term

This Agreement begins on the date the Administrator’s Login ID is issued and remains valid until terminated by either party. The Administrator agrees to keep their registration information accurate and up to date.

3. Credits and Payment

3.1 Purchases of assessment credits are subject to Golden’s acceptance and the terms herein.

3.2 Each credit entitles the Administrator to conduct one assessment and provides unlimited report access from the original data responses.

3.3 Refunds are permitted within 30 days of purchase, subject to a 25% administration fee. Unused credits do not expire but are non-transferable.

4. Proper Use of Assessments

Administrators agree to use Golden’s assessments: Golden assessment’s are not designed, validated, or intended for use in any form of pre-employment selection, hiring, recruitment, or promotional screening. Use of the assessment for employment decision-making, including to qualify, disqualify, or rank job applicants or employees, is strictly prohibited.

By using the platform, the Administrator explicitly agrees not to use the assessment or its results for employment-related decisions. Golden LLC disclaims all responsibility for misuse of the assessment outside of self-development contexts and reserves the right to terminate access if such misuse is identified.

5. Protection of Assessment Products

5.1 GoldenProfiler.com and its content are the proprietary property of Golden LLC. Administrators may not share, modify, or distribute assessment reports or materials.

5.2 Reverse engineering, unauthorized access, or replication of Golden’s assessment tools is strictly prohibited.

6. Data Privacy, Processing, and Compliance with the DPF

Golden LLC processes personal data in accordance with its Privacy Statement and all applicable data protection laws, including but not limited to the EU-U.S. Data Privacy Framework (DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF. The Privacy Statement governs all matters relating to the collection, use, storage, and transfer of personal data. By agreeing to this Terms of Use Agreement, Administrators acknowledge and accept the terms outlined in the Privacy Statement.

All provisions previously listed under Section 6 (6.1 to 6.9) remain unchanged and apply under the governance of the Privacy Statement.

6.1. Personal Information We Collect

Golden LLC collects the following personal information: • Identifiers: Name, email address, professional education, and experience. • Assessment Data: Personality assessment responses (self-reported by you or your clients). • Technical Data: Metadata, timestamps, and system logs for security and service monitoring. • Support Requests: Communications related to inquiries and customer support. 6.1 Personal Data We Collect 6.2 How We Process Personal Data

Golden LLC processes personal data for: 6.3 Independent Recourse Mechanism (IRM) & Dispute Resolution

In compliance with the EU-U.S. DPF, UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF, Golden LLC has designated JAMS as its independent dispute resolution provider. 6.4 Data Transfers & Onward Liability

Golden LLC remains liable for onward transfers of personal data to third-party service providers. Golden takes reasonable steps to ensure third parties comply with privacy protections equivalent to the DPF Principles.

6.6 FTC Enforcement & Legal Compliance

Golden LLC is subject to the investigatory and enforcement authority of the Federal Trade Commission (FTC) regarding DPF compliance.

6.7 Binding Arbitration

Under certain conditions, individuals may invoke binding arbitration as a recourse mechanism. More details about this option can be found in Annex I of the DPF Principles at: https://www.dataprivacyframework.gov.

Golden LLC warrants that assessments, in their standardized form, will not infringe on patents or copyrights. Administrators must report any potential infringement claims to Golden.

8. Termination

This Agreement may be terminated by either party upon written notice. Golden may terminate access if an Administrator breaches these terms.

9. Liability

Golden LLC’s liability is limited to fees paid for assessments. Golden is not liable for indirect or consequential damages.

10. Governing Law

This Agreement is governed by the laws of the State of Florida, USA. Other than DPF disputes as described above. All other disputes shall be resolved in the competent U.S. courts.
